Terms of Use

1. Acceptance of these Terms
These Terms of Use ("Terms") form a legally binding agreement between you
and F of X Development, LLC ("Signpost," "we," "us," or "our")
governing your access to and use of the Signpost website, applications,
and related services (the "Services"). By creating an account, joining an
event, or otherwise using the Services, you agree to these Terms and our
Privacy Policy.
If you do not agree to these Terms, do not use the Services.
2. Eligibility and minors
You must be at least 13 years old to create a Signpost member account on
your own behalf. If you are under the age of majority in your jurisdiction,
you must have permission from a parent, legal guardian, or authorized
organization (such as your school) to use the Services, and that adult
agrees to be bound by these Terms on your behalf.
Organizations that enroll minors in events represent and warrant that they
have obtained any necessary parental or guardian consents required by
applicable law (including, where applicable, COPPA, FERPA, and state
student-privacy laws) before causing any information about those minors
to be submitted to the Services.
3. Accounts
You are responsible for maintaining the confidentiality of any sign-in
codes, sessions, or other credentials used to access your account, and for
all activity that occurs under your account. You agree to provide accurate
information when creating an account and to keep that information current.
Notify us immediately of any unauthorized use of your account.
4. Organization accounts and administrators
An organization account is used by schools, parks, historic sites, youth
programs, and similar entities to create events, add destinations and
quizzes, and manage members. If you register or administer an organization
account, you represent that you are authorized to bind the organization to
these Terms.
Organization administrators are responsible for:
- The content they publish, including destination descriptions and quiz questions, and ensuring that content does not infringe any third-party rights or violate applicable law.
- Obtaining all necessary rights, licenses, and consents for images, text, and other materials uploaded to the Services.
- The physical safety and suitability of the locations and routes they configure, including posting appropriate on-site warnings where needed.
- Compliance with any laws and policies that apply to their members, including student-privacy and child-safety laws.
5. Acceptable use
You agree not to, and not to help anyone else to:
- Use the Services to violate any law or the rights of others.
- Attempt to spoof, manipulate, or bypass location verification, including by submitting false geolocation data.
- Scan QR codes or access the Services in a manner that creates an unreasonable risk of harm to yourself or others (for example, while driving).
- Interfere with or disrupt the Services, probe or test their vulnerability, or circumvent any security or authentication measures.
- Access the Services using automated means or scrape, crawl, or harvest data from the Services except as expressly permitted.
- Upload viruses, malware, or other harmful code.
- Harass, threaten, impersonate, or defame any person, or use display names or content that is unlawful, obscene, or hateful.
- Reverse engineer, decompile, or disassemble any part of the Services, except to the extent that applicable law prohibits such restrictions.
6. User content
"User Content" means any content you or your organization submits to the
Services, including display names, quiz answers, event descriptions,
destination blurbs, images, and comments. You retain ownership of your
User Content. By submitting it, you grant Signpost a worldwide,
non-exclusive, royalty-free license to host, store, reproduce, display,
and distribute your User Content solely to operate and improve the Services.
You represent and warrant that you have all rights necessary to submit
your User Content and that it does not violate these Terms or applicable law.
We may remove User Content that we reasonably believe violates these Terms.
7. Location-based features and on-site safety
The Services use your device's reported location to verify that QR scans
occur at intended destinations. Location accuracy depends on your device,
network, weather, and surroundings and may be imperfect. Signpost is not
responsible for inaccuracies caused by these factors.
You are solely responsible for your personal safety while
participating in any Signpost event. Do not use the Services while
operating a vehicle. Be aware of your surroundings, observe posted
signage, and use good judgment on trails, roads, or unfamiliar
locations. If a route or destination appears unsafe, do not proceed.
8. Intellectual property
The Services, including all software, designs, text, graphics, and
trademarks (other than User Content), are owned by Signpost or our
licensors and are protected by intellectual-property laws. Subject to
these Terms, we grant you a limited, non-exclusive, non-transferable,
revocable license to access and use the Services for their intended
purpose. All rights not expressly granted are reserved.
9. Fees and billing
Some features of the Services may require payment of fees. If you
subscribe to a paid plan, you authorize us (or our payment processor)
to charge the applicable fees on a recurring basis until you cancel.
Fees are non-refundable except as required by law or as stated at the
time of purchase. Taxes may apply and will be calculated based on the
information you provide.
10. Third-party services
The Services may link to or integrate with third-party services (for
example, email or SMS providers, mapping providers, or analytics
services). We are not responsible for the content, policies, or
practices of those third parties. Your use of a third-party service is
governed by that service's own terms and privacy policy.
11. Disclaimers
The Services are provided "as is" and "as available" without
warranties of any kind, whether express or implied, including
implied warranties of merchantability, fitness for a particular
purpose, and non-infringement. We do not warrant that the Services
will be uninterrupted, error-free, secure, or accurate, or that
any defect will be corrected.
12. Limitation of liability
To the fullest extent permitted by law, in no event will Signpost
or its officers, directors, employees, or agents be liable for any
indirect, incidental, special, consequential, exemplary, or
punitive damages, or for loss of profits, revenues, data, goodwill,
or other intangible losses, arising out of or related to your use
of the Services, whether based on warranty, contract, tort, or any
other legal theory, even if we have been advised of the possibility
of such damages.
Our total cumulative liability arising out of or relating to these
Terms or the Services will not exceed the greater of (a) the
amounts paid by you to Signpost in the twelve (12) months preceding
the event giving rise to the claim, or (b) one hundred U.S. dollars
(US $100).
Some jurisdictions do not allow the exclusion or limitation of certain
damages, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Signpost and its
officers, directors, employees, and agents from and against any claims,
liabilities, damages, losses, and expenses (including reasonable
attorneys' fees) arising out of or in any way connected with: (a) your
access to or use of the Services; (b) your User Content; (c) your
violation of these Terms; or (d) your violation of any rights of another.
14. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate
your access to the Services at any time, with or without notice, if we
reasonably believe you have violated these Terms, created risk or legal
exposure for Signpost, or if we discontinue the Services. Sections that
by their nature should survive termination (including User Content
license, disclaimers, limitation of liability, indemnification, and
governing law) will survive.
15. Governing law and disputes
These Terms are governed by the laws of Colorado United States,
without regard to its conflict-of-laws principles. You and Signpost agree
that any dispute arising out of or relating to these Terms or the
Services will be brought exclusively in the state or federal courts
located in Colorado United States<, and you consent to the
personal jurisdiction of those courts.
16. Changes to these Terms
We may modify these Terms from time to time. When we do, we will update
the "Last updated" date above and, for material changes, provide notice
through the Services or by email. Your continued use of the Services
after an update means you accept the modified Terms.
17. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement
between you and Signpost regarding the Services. If any provision is
held unenforceable, the remainder will remain in full force and effect.
Our failure to enforce any right is not a waiver of that right. You may
not assign these Terms without our written consent; we may assign them
freely. There are no third-party beneficiaries.
